Terms of Service

These Terms of Service ("Terms") are an agreement between you and Udooku LLC, a California limited liability company at 453 S Spring St Ste 400, Los Angeles, CA 90013, United States ("Udooku", "we", "us"), which runs Ojelio, the service at ojelio.com that turns articles into short videos (the "Service").
By creating an account, joining a workspace or using the Service, you accept these Terms, the Acceptable Use Policy and the Copyright Policy. The Privacy Policy explains how we handle personal data. If you use Ojelio for a company or another organization, you accept these Terms for it and confirm that you may do so.
1. Who can use Ojelio
- You must be at least 18 years old and able to enter into a contract where you live.
- Give true information when you sign up and keep your email address current. One account is for one person; do not share your login.
- You are responsible for what happens under your account. Tell us at legal@ojelio.com if you think someone else has used it.
- You may not use Ojelio if you are barred from it by the laws of the United States or of the country you are in, including sanctions laws.
2. Workspaces and roles
- Videos, credits, plans, the brand kit and styles belong to a workspace, not to a single person. Signing up creates a workspace; you may be invited to others.
- A workspace has an owner, and may have admins and members. Owners and admins manage billing, members, the brand kit and workspace settings. The owner of a workspace that pays for a plan is the customer for that plan.
- Owners and admins can see, and delete, what members make in the workspace, including members' personal styles.
- When you are removed from a workspace, you lose access to its videos and content. What you made there stays with the workspace.
3. The Service
- Ojelio uses artificial intelligence to write a script from your text, read it with a synthetic voice, draw or animate images and assemble a video. Results made by AI can be inaccurate, incomplete or unexpected. Review every video before you publish it; you are responsible for what you publish.
- We screen content before any video is made (see section 8 and the Acceptable Use Policy). We may refuse to make a video.
- We work to keep Ojelio available, but we do not promise that it will be uninterrupted or error-free. We may change, add or remove features. If we remove a paid feature you rely on, we will tell you in advance where we reasonably can.
- Some features are marked as test or preview features. They may change or end at any time.
4. Your content
"Your content" is what you or your workspace put into Ojelio: text, titles, links, pages you import, pictures, images you upload, music you upload, descriptions of styles and characters, and the edits you make to scripts.
- You keep the rights you have in your content. We do not claim ownership of it.
- You give Udooku a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, adapt and display your content, only as needed to run, secure and improve the Service for you, to make the videos you ask for, to show them as you choose (or as your plan requires, see section 5), and to comply with the law. This license ends when your content is deleted from the Service, except for copies we must keep under the Privacy Policy or the law.
- To make your videos, your content is sent to the providers listed in the Privacy Policy, including providers of AI text, voice and image generation. You authorize them to process it for that purpose.
- You confirm that you have the rights to everything you submit. Each time you make a video you confirm that you have the rights to use its content, text and pictures, in a video that may be published; each time you upload a music track you confirm that you have the rights to use it in published videos. If you import a page or use pictures you did not create, you must have the permission of their owner or another legal basis to use them.
- We do not use your content to train AI models, and our AI providers do not train their models on it, as the Privacy Policy explains.
5. Your videos
- As between you and Udooku, the videos made for your workspace, and the scripts, voice tracks and images made for them ("outputs"), belong to your workspace, to the extent the law allows them to be owned. Udooku assigns to you any rights it may have in your outputs.
- AI-generated material may not be protected by copyright in some countries, and similar outputs may be made for other people. We do not promise that an output is unique or that it can be registered or enforced.
- Ojelio's built-in music tracks, styles, templates, fonts we provide and our watermark remain ours or our licensors'. You may use them in your videos, including commercially, as part of those videos only, not on their own.
- Free plan: videos carry an Ojelio watermark. When Ojelio offers public video pages, videos made on the Free plan may be shown there with the name of your workspace; we will tell you before this starts. Paid plans have no watermark and will let you choose who can see each video.
- Ojelio labels videos it shows publicly as AI-generated. Where the law or a platform you publish on requires AI-generated content to be disclosed, you are responsible for disclosing it.
- You must not present a video as a real recording of a real person or event.
6. Acceptable use
You must follow the Acceptable Use Policy. In particular, you must not:
- break the law or anyone's rights, including copyright, trademark, privacy and image rights;
- make content that imitates a real person's voice or likeness, or that deceives people about who said or did something;
- try to get around our screening, limits, credits, watermark or security, or use more than one account to get more free credits;
- copy, scrape, reverse engineer or resell the Service, except as the law expressly allows;
- use the Service or its outputs to build or train a product or AI model that competes with Ojelio or with our providers;
- access the Service by automated means other than the features we provide for that.
7. Credits, plans and payments
Credits. Making a video uses credits. The credit price of each part of a video is shown before you make it, as the most it can cost. Credits are a prepaid right to use the Service; they are not money, have no cash value, cannot be transferred to another workspace and cannot be exchanged for cash, except where the law requires otherwise.
- When you make a video, its credits are set aside. A video that is delivered uses the credits of the steps it used. A video that fails is not charged, and its credits come back. A video you cancel uses the credits of the steps already done. A video refused under our policies is not charged.
- We do not promise any particular result. If a video is delivered but you do not like it, its credits are not returned, but tell us if something went wrong and we will look at it.
Free plan. A free workspace receives an allowance of credits each month, as shown on the Credits page. Unused allowance does not carry over. We may change the free allowance or limit it to prevent abuse.
Paid plans. Plans are billed monthly in US dollars, in advance, and renew automatically every month until cancelled. Each paid month brings the plan's credits, which replace what was left of the plan's credits from the month before. You can cancel at any time from the Credits page (the billing portal); the plan stays active until the end of the month already paid and is not renewed. We will tell you at least 30 days before a price change applies to you; you can cancel before it does.
Credit packs are bought once, on any plan, and do not expire: they remain available until used, for as long as your workspace exists.
Payments are processed by Stripe. Prices are in US dollars; where taxes apply, they are shown and added at checkout.
Refunds within 7 days. You can ask for a refund of any purchase (a plan's payment or a credit pack) within 7 days of it, by writing to legal@ojelio.com. If none of the credits that purchase brought were used, we refund it in full; if some were used, we refund the unused part, in proportion. This applies to everyone, and includes the right of withdrawal of consumers in Brazil under article 49 of the Consumer Protection Code (CDC).
After 7 days, payments are not refundable and credits are not returned as money, except:
- where the law where you live gives you a further right to a refund;
- if we end your access without cause (section 12), when we refund the unused part of what you paid for credits and the current month.
If you dispute a payment with your bank instead of contacting us, we may suspend the workspace until the dispute is settled.
8. Screening, limits and enforcement
- We screen the text, pictures and descriptions you submit, automatically, before anything is made (see the Acceptable Use Policy). Our providers apply their own safety filters too. Refused content is not charged.
- If content you submit is refused three times within 24 hours, you cannot make new videos, styles or characters for 24 hours.
- We limit how often some actions can be repeated (for example sign-up, login, password reset, invitations and imports) to protect the Service.
- If you break these Terms or the Acceptable Use Policy, we may remove content, refuse to make videos, limit features, or suspend or close the account or workspace. Where we reasonably can, we will tell you why. If you think we made a mistake, write to legal@ojelio.com: a person will review the decision and answer within 7 days.
9. Third-party services
- Ojelio relies on providers of AI text, voice and image generation, storage, hosting, email and payments. Their own terms and policies apply to their services, and we pass on to you the restrictions they require of us, which are reflected in these Terms and the Acceptable Use Policy.
- Our providers of AI services are intended third-party beneficiaries of sections 4, 5, 6 and 10 of these Terms and of the Acceptable Use Policy, and may enforce them directly.
- Links to other sites are not under our control, and we are not responsible for them.
10. Feedback and our rights
- Ojelio, its software, design, brand and the materials we provide are owned by Udooku or its licensors. Apart from the rights these Terms give you, you receive no rights in them.
- If you send us ideas or feedback, we may use them without owing you anything.
11. Privacy and copyright
- The Privacy Policy explains what personal data we collect and why.
- If you believe something on Ojelio infringes your copyright, follow the Copyright Policy. We close the accounts of repeat infringers in appropriate circumstances.
12. Ending your use
- You can stop using Ojelio at any time. To close your account and delete your data, write to privacy@ojelio.com from your account's email address; we do it within 30 days. Cancel a paid plan first, from the Credits page.
- We may suspend or close an account or workspace if you seriously or repeatedly break these Terms, if we must by law, if a payment fails and is not settled, or if your use creates a risk for others or for the Service. We may also stop offering Ojelio altogether, with at least 30 days' notice, in which case section 7 applies to refunds.
- When an account or workspace closes, its content is deleted as described in the Privacy Policy. Download the videos you want to keep before then. Unused credits end, except as section 7 provides.
- Sections that by their nature should continue (including 4 for copies we must keep, 5, 10, 13, 14, 15 and 16) continue after the account closes.
13. Disclaimers
Ojelio is provided "as is" and "as available". To the extent the law allows, Udooku disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that outputs will be accurate, lawful to publish, or suitable for your purpose.
Nothing in these Terms limits rights that consumers have under laws that cannot be changed by contract, including the Brazilian Consumer Protection Code and the consumer laws of the European Union and the United Kingdom.
14. Limitation of liability
To the extent the law allows:
- Udooku is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.
- Udooku's total liability for all claims about the Service is limited to the greater of the amounts you paid Udooku in the 12 months before the event giving rise to the claim, or US$100.
These limits do not apply to liability that cannot be limited by law, such as for fraud, wilful misconduct or, for consumers where the law so provides, for defects in the service.
15. Your responsibility to us
If you use Ojelio for a business, you will defend and compensate Udooku against claims by others arising from your content, your videos as you publish them, or your breach of these Terms or of the law, including reasonable legal costs. Consumers are responsible only to the extent the law where they live allows.
16. Governing law and disputes
- These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law rules.
- Before going to court, contact us at legal@ojelio.com and give us 30 days to try to resolve the matter informally.
- Disputes are decided by the state or federal courts located in Los Angeles County, California, and you and Udooku accept their jurisdiction. Either of us may bring a qualifying claim in small-claims court.
- If you are a consumer in Brazil, the European Union, the United Kingdom or another country whose law protects consumers in this way, you keep the protection of the mandatory laws of the place where you live, and you may bring a claim in the courts of your domicile.
17. Changes to these Terms
We may change these Terms. If a change is material, we will tell you in the app or by email before it applies, and ask you to accept the new Terms before you continue to use Ojelio. The version and date are at the top of this page. If you do not accept a change, you may stop using Ojelio and close your account as in section 12.
18. General
- These Terms, with the policies they refer to, are the whole agreement between you and Udooku about Ojelio.
- If a part of these Terms cannot be enforced, the rest still applies. Not enforcing a part is not a waiver of it.
- You may not transfer your rights under these Terms without our consent. We may transfer them to a company that takes over Ojelio, with notice to you.
- We are not responsible for delays or failures caused by events beyond our reasonable control.
- Language. These Terms are offered in English and in Portuguese. For users in Brazil, the Portuguese version prevails; for everyone else, the English version prevails.
- We send notices to the email address of your account or show them in the app. Send notices to us at legal@ojelio.com or by mail to Udooku LLC, 453 S Spring St Ste 400, Los Angeles, CA 90013, United States.
